The team regularly advises closely held companies, family-owned enterprises, middle market companies and emerging growth businesses on choice of entity, capital structure, equity incentive arrangements, shareholder and operating agreements, and ongoing governance matters. Their work extends to strategic commercial contracts, supply and distribution arrangements, software and technology licensing, and other mission critical relationships that drive enterprise value and protect strategic assets.
A significant portion of the practice is devoted to complex transactions, including mergers, acquisitions, divestitures, joint ventures and complex financing transactions. These engagements often call for the integration of corporate, tax, securities, environmental, labor and employment, employee benefits and antitrust considerations, and the team is accustomed to assembling cross disciplinary deal teams to address those issues in real time.
The group routinely represents issuers, investors and borrowers in private placements, venture capital investments, cash flow and asset-based borrowing, equipment financings, and other sophisticated credit facilities. We also counsel clients on securities law compliance, capital structure, and ownership transition planning, drawing on deep experience with federal and state tax and corporate law.
